1. Acceptance of Terms
By downloading, installing, activating, or otherwise using WA Manager ("the Software"), you ("User," "Licensee," or "you") agree to be legally bound by these Terms of Service ("Terms") and all policies incorporated herein by reference. These Terms constitute a binding legal agreement between you and Algorida Digital LLC ("Company," "we," "us," or "our"), a limited liability company registered in the State of Montana, United States.
If you are using the Software on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" and "your" refer to that entity. If you do not have such authority, or if you do not agree with these Terms, you must not use the Software.
Your continued use of the Software following any update or modification to these Terms constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically to remain informed of any changes.
2. License and Usage
2.1 Grant of License
Subject to your compliance with these Terms and timely payment of applicable license fees, Algorida Digital LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use WA Manager solely for your internal business or personal purposes during the term of your active subscription or license period.
2.2 Software Is Licensed, Not Sold
WA Manager is licensed, not sold. This agreement does not transfer title or ownership of the Software, or any intellectual property rights therein, to you. Algorida Digital LLC retains all ownership, title, and intellectual property rights in and to the Software, including all copies thereof, whether in whole or in part, and in any form.
2.3 License Restrictions
Unless you hold a Master Pack or White-Label license expressly permitting such activities, you agree that you shall not, and shall not permit any third party to:
- Copy, reproduce, distribute, sublicense, sell, resell, or otherwise transfer the Software or any rights therein without express written authorization from Algorida Digital LLC;
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based upon the Software;
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
- Use the Software to develop a competing product or service;
- Use the Software in any manner that violates applicable local, national, or international laws or regulations;
- Share, transfer, or lend your license credentials to any unauthorized third party;
- Attempt to circumvent, bypass, or tamper with the licensing, activation, or authentication systems embedded within the Software.
2.4 Reseller and Master Licenses
Users holding a Reseller Pack or Master Pack license are subject to additional terms communicated at the time of purchase. Reseller and master rights are strictly defined in the applicable license agreement and do not confer unlimited redistribution or white-labeling rights beyond what is expressly specified.
2.5 License Term and Termination
Your license is valid for the duration of your active subscription period. Algorida Digital LLC reserves the right to suspend or terminate your license immediately and without notice if you violate any provision of these Terms, fail to make required payments, or engage in conduct that the Company reasonably determines to be harmful, fraudulent, or in breach of any applicable law.
3. Third-Party Dependencies
WA Manager is a desktop automation platform that depends on third-party libraries, APIs, protocols, and services — including, but not limited to, WhatsApp-related libraries, automation frameworks, communication protocols, and open-source components that enable its core functionality. These dependencies are not owned, developed, maintained, or controlled by Algorida Digital LLC.
Important Notice Regarding WhatsApp Dependencies: WA Manager relies upon third-party libraries and protocols associated with WhatsApp. These components are independently maintained by their respective developers and are subject to change, deprecation, or removal at any time. Algorida Digital LLC does not own, endorse, or control WhatsApp or Meta Platforms, Inc., and WA Manager is not affiliated with, authorized by, or endorsed by WhatsApp or Meta. The use of WA Manager does not imply any official partnership or relationship with WhatsApp or Meta.
By using the Software, you acknowledge and accept that:
- Third-party libraries and dependencies may change, be updated, or cease to function without notice;
- Algorida Digital LLC cannot guarantee uninterrupted functionality when third-party components change;
- Some features of WA Manager may rely on unofficial or community-maintained implementations of communication protocols;
- The use of such third-party dependencies is inherent to the nature of the Software and you assume all associated risks.
4. Service Availability and Feature Changes
4.1 General Availability
Algorida Digital LLC makes reasonable efforts to maintain the availability and functionality of WA Manager. However, we do not guarantee uninterrupted, error-free, or continuous operation of the Software. Scheduled maintenance, updates, or circumstances beyond our reasonable control may result in temporary unavailability.
4.2 Impact of Third-Party and WhatsApp Changes
WA Manager's functionality is inherently tied to third-party libraries and WhatsApp's underlying platform behavior. If any feature of WA Manager breaks, degrades, or stops working as a result of:
- An update, change, or modification by WhatsApp or Meta Platforms, Inc. to their application, servers, APIs, or protocols;
- A change, deprecation, or removal of any third-party library, dependency, or component that WA Manager relies upon;
- Any enforcement action or policy update by WhatsApp or Meta that restricts the type of automation the Software performs;
then you may be required to wait for a corrective update or patch from Algorida Digital LLC. The time required to restore affected features will vary based on the nature and complexity of the underlying change.
Fix Duration Disclosure: Depending on the complexity of the change, resolution of broken features may take anywhere from 24 hours to 30 days from the date the issue is identified and confirmed by our development team. Algorida Digital LLC will make reasonable efforts to communicate progress and estimated timelines where possible, but cannot guarantee specific resolution dates.
4.3 Permanent Feature Unavailability
In certain circumstances, it may not be technically or legally possible to restore a feature that has been broken or blocked due to changes in WhatsApp's policies, platform architecture, or applicable law. If Algorida Digital LLC determines that a particular feature cannot be restored, the Company will make reasonable efforts to notify affected users. However, permanent loss of one or more features does not automatically entitle the user to a refund or compensation unless expressly stated otherwise in the applicable refund policy.
Risk Acknowledgment: By using WA Manager, you explicitly accept the risk that certain features may be temporarily or permanently unavailable due to changes in WhatsApp's policies, platform updates, or decisions by Meta Platforms, Inc. that are entirely outside the control of Algorida Digital LLC. You agree that this risk is inherent to software that depends on third-party platforms and that you will not hold Algorida Digital LLC liable for feature unavailability arising from such circumstances.
4.4 Feature Modifications
Algorida Digital LLC reserves the right to modify, add, or remove features of WA Manager at any time, with or without prior notice, as part of normal product development, compliance requirements, or operational necessity. No specific feature is guaranteed to remain available throughout the duration of your license period.
5. Account Safety and Restrictions
5.1 Inherent Risk of Automation
WhatsApp is a messaging platform operated by Meta Platforms, Inc. and is governed by WhatsApp's own Terms of Service. WhatsApp's Terms of Service prohibit or restrict certain types of automated, bulk, or programmatic messaging activity. By using WA Manager, you acknowledge that the use of automation tools in connection with WhatsApp carries inherent and material risks, including but not limited to the temporary restriction, permanent suspension, or outright banning of your WhatsApp account or phone number by WhatsApp or Meta.
Account Risk Disclaimer: Algorida Digital LLC, its developers, directors, officers, employees, agents, and affiliates are NOT liable for any restriction, limitation, suspension, or permanent ban imposed on your WhatsApp account or phone number by WhatsApp or Meta Platforms, Inc. as a result of your use of WA Manager. The decision to restrict or ban an account rests solely with WhatsApp and Meta, and is entirely beyond the control of Algorida Digital LLC.
5.2 User Responsibility
You agree that you are solely responsible for how you use WA Manager and for ensuring that your use complies with WhatsApp's Terms of Service, applicable local laws, anti-spam regulations, data protection laws, and any other applicable legal or platform-specific requirements. Algorida Digital LLC provides the Software as a tool; how you deploy and use it is your responsibility.
5.3 Responsible Use Guidance
While Algorida Digital LLC does not guarantee protection against account restrictions, the following general practices may reduce risk: using the warmer feature before conducting large outreach campaigns; maintaining reasonable messaging intervals; honoring opt-out requests; and avoiding high-frequency, unsolicited bulk messaging to cold contacts. These are general guidelines only and do not constitute a guarantee of account safety.
5.4 No Indemnity for Policy Violations
If your use of WA Manager results in enforcement action by WhatsApp, Meta, or any governmental authority, Algorida Digital LLC will not indemnify, defend, or hold you harmless from any resulting consequences, damages, losses, or penalties. You agree to indemnify and hold Algorida Digital LLC harmless from any claims, liabilities, or costs arising from your misuse of the Software or violation of any third-party terms of service.
6. Payment and Refunds
6.1 Pricing and Payment
All fees for WA Manager licenses are communicated at the time of purchase and are payable in full before your license is activated. Prices are subject to change without notice for future purchases. Your existing license period will not be affected by pricing changes during its active term.
6.2 Refund Policy
Given the digital and immediately deliverable nature of software licenses, all sales are generally considered final upon license activation. Algorida Digital LLC will evaluate refund requests on a case-by-case basis and may, at its sole discretion, issue a full or partial refund under the following circumstances:
- A verified technical fault with the Software that prevents basic functionality and that Algorida Digital LLC is unable to resolve within a reasonable time period;
- Duplicate payment or billing error documented and verified by the Company;
- Request submitted within 48 hours of initial purchase, provided the license has not been actively used or activated beyond initial testing.
Refund requests will not be honored on the basis of WhatsApp account restrictions, feature unavailability caused by third-party changes, or dissatisfaction arising from risks that are clearly disclosed in these Terms. 6.3 Chargebacks
Initiating an unauthorized chargeback or payment dispute without first contacting Algorida Digital LLC to resolve the issue constitutes a breach of these Terms. The Company reserves the right to suspend or permanently terminate the licenses of users who initiate fraudulent chargebacks and to pursue recovery of associated costs.
7. Intellectual Property
All intellectual property rights in and to WA Manager, including but not limited to the software code, user interface design, graphics, icons, documentation, branding, trademarks, and all related materials, are and shall remain the exclusive property of Algorida Digital LLC or its respective licensors. Nothing in these Terms transfers or assigns any intellectual property rights to you.
You are expressly prohibited from using the WA Manager name, logo, or any other Algorida Digital LLC branding in any manner without prior written consent, except as permitted under a Master Pack or White-Label license agreement.
Any feedback, suggestions, or ideas you provide to Algorida Digital LLC regarding the Software may be used by the Company without restriction, compensation, or obligation, and you hereby assign all rights in such feedback to Algorida Digital LLC.
8. Limitation of Liability
8.1 Disclaimer of Warranties
WA Manager is provided "as is" and "as available," without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Algorida Digital LLC expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
8.2 Limitation of Damages
To the maximum extent permitted by applicable law, in no event shall Algorida Digital LLC, its directors, officers, employees, agents, partners, or licensors be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other commercial or financial losses, even if Algorida Digital LLC has been advised of the possibility of such damages.
8.3 Cap on Liability
In any event, Algorida Digital LLC's total cumulative liability to you for any and all claims arising under or related to these Terms or your use of the Software shall not exceed the total amount paid by you to Algorida Digital LLC in the twelve (12) months immediately preceding the event giving rise to the claim.
WhatsApp Account Liability Cap: Algorida Digital LLC's liability for any loss, damage, or cost associated with WhatsApp account restrictions, bans, or data loss resulting from your use of WA Manager is zero (nil). Account enforcement decisions are made exclusively by WhatsApp and Meta Platforms, Inc. and are entirely outside the control or influence of Algorida Digital LLC.
8.4 Jurisdictional Limits
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. If you reside in such a jurisdiction, some of the above exclusions and limitations may not apply to you, but they shall apply to the maximum extent permitted by applicable law in your jurisdiction.
9. Changes to Terms
Algorida Digital LLC reserves the right to modify, amend, update, or replace these Terms of Service at any time and at its sole discretion, without prior notice to you. Changes become effective immediately upon posting the revised Terms on this page. The "Last Updated" date at the top of this page will reflect the date of the most recent revision.
It is your responsibility to review these Terms periodically. Your continued use of WA Manager after any changes are posted constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Software and contact us regarding any applicable license adjustments.
For material changes that significantly alter your rights or obligations, Algorida Digital LLC will make reasonable efforts to notify active license holders via email or through the License Panel, but is not obligated to do so in all circumstances.
